These Terms of Service ("Terms") govern the use of the RugbyCottons website, configurator, services and the purchase of custom rugby jerseys and related products from RugbyCottons ("RugbyCottons", "we", "us" or "our").

By using our website, configurator or placing an order with RugbyCottons, you agree to these Terms.

1. About RugbyCottons

RugbyCottons is a Netherlands-registered business operating through rugbycottons.com.

RugbyCottons provides customers with the ability to design custom rugby jerseys through its online configurator. Customers may create original designs, modify available design elements, upload their own artwork and logos, and recreate or take inspiration from historical or existing rugby jersey designs.

RugbyCottons sells to consumers, rugby clubs, organisations and businesses. We currently accept orders from customers in the European Union, Australia, New Zealand, the United States and, where agreed, other countries.

2. Use of the Website and Configurator

RugbyCottons provides an online design configurator that allows customers to create custom jersey designs.

Customers are responsible for reviewing their design carefully before submitting an order.

This includes, without limitation:

  • jersey size and quantity;
  • names and numbers;
  • colours;
  • text;
  • logos;
  • images;
  • artwork;
  • positioning of design elements;
  • spelling;
  • formatting;
  • selections made within the configurator; and
  • any other information or specifications supplied by the customer.

Once an order has been submitted and production has commenced, RugbyCottons may not be able to make changes to the design.

Customers should therefore carefully check and approve their design before placing an order.

3. Minimum Order Quantity

Custom jersey orders have a minimum quantity of 10 jerseys, unless RugbyCottons expressly agrees otherwise.

RugbyCottons reserves the right to reject or cancel orders that do not meet the applicable minimum order quantity.

4. Customer-Submitted Content

Customers may upload logos, images, artwork, trademarks, photographs or other materials to the RugbyCottons platform ("Customer Content").

The customer is solely responsible for ensuring that they have all rights, licences, permissions and authorisations necessary to use and reproduce any Customer Content they upload.

By uploading Customer Content, the customer represents and warrants that:

  1. they own the Customer Content or have obtained all necessary rights and permissions to use it;
  2. they have the legal right to reproduce and use the Customer Content on clothing and other products;
  3. the Customer Content does not infringe copyright, trademark rights, design rights, publicity rights, privacy rights or any other rights of a third party;
  4. the Customer Content does not violate any applicable law;
  5. the Customer Content does not contain unlawful, defamatory, fraudulent, threatening or otherwise prohibited material; and
  6. RugbyCottons' use of the Customer Content for the purpose of producing and fulfilling the customer's order will not infringe the rights of any third party.

The customer grants RugbyCottons a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify as technically necessary, manufacture and display Customer Content solely to the extent necessary to operate the service, process and manufacture the customer's order, provide customer support and otherwise perform the agreement with the customer.

5. Intellectual Property and Copyright

RugbyCottons owns or has the right to use the RugbyCottons website, configurator, software, interface, templates, technical systems, tools, graphics, functionality and other materials provided by RugbyCottons.

Nothing in these Terms transfers ownership of the RugbyCottons configurator or its underlying software, systems or technology to the customer.

Customers may use the RugbyCottons configurator for its intended purpose of creating and ordering custom rugby jerseys.

Customer responsibility for intellectual property

The fact that the RugbyCottons configurator permits a customer to upload or create a particular design does not mean that RugbyCottons represents or guarantees that the resulting design is free from third-party intellectual property rights.

Customers are responsible for ensuring that their chosen design, uploaded materials, logos, artwork and other content can legally be used.

The customer acknowledges that a design created using the configurator may resemble, reproduce or be based upon an existing or historical rugby jersey.

RugbyCottons does not represent that any recreated historical or existing jersey design is free from copyright, trademark, registered design or other intellectual property rights.

Where a customer uses the configurator to recreate an existing or historical jersey design, the customer is responsible for ensuring that their use of that design is legally permitted.

RugbyCottons may refuse, cancel or modify an order where it reasonably believes that the proposed design may infringe third-party rights or expose RugbyCottons to legal risk.

6. Customer Indemnification for Uploaded Content

To the fullest extent permitted by applicable law, the customer agrees to indemnify and hold RugbyCottons harmless from claims, losses, damages, liabilities, costs and reasonable legal expenses arising from a third-party claim that Customer Content supplied by the customer infringes that third party's intellectual property, privacy, publicity or other legal rights.

This provision does not apply to the extent that the relevant claim results from RugbyCottons' own unlawful conduct or from material supplied by RugbyCottons rather than the customer.

7. Ownership of Designs on the RugbyCottons Platform

RugbyCottons owns and/or controls the RugbyCottons platform, configurator system and the designs, templates, design elements and other materials uploaded to or generated within its platform, except to the extent that third-party rights apply or the law provides otherwise.

Use of the configurator does not transfer ownership of RugbyCottons' software, configurator, templates or underlying design system to the customer.

Where a customer uploads their own intellectual property, ownership of that pre-existing intellectual property remains with the customer or the applicable rights holder.

The customer grants RugbyCottons the rights necessary to use uploaded material to provide the services and manufacture the ordered products.

8. Gallery and Marketing Use

RugbyCottons may operate a gallery or similar public-facing section displaying designs created using its platform.

Where a customer submits or uploads a design to a RugbyCottons gallery or otherwise makes the design available for public display through the platform, the customer grants RugbyCottons permission to display and use that design for RugbyCottons' marketing, promotional and social-media purposes.

This may include displaying the design on:

  • the RugbyCottons website;
  • social-media accounts;
  • marketing materials;
  • advertisements;
  • promotional campaigns; and
  • RugbyCottons' portfolio or gallery.

For designs that have not been submitted to a public RugbyCottons gallery, RugbyCottons will request the customer's permission before using the design for promotional or social-media purposes, unless another lawful basis for such use applies.

9. Reproduction of Existing and Historical Jerseys

RugbyCottons allows customers to use the configurator to recreate or reproduce designs inspired by old, historical or existing rugby jerseys.

This functionality is provided as a design service and does not constitute a statement by RugbyCottons that a particular historical or existing design may legally be reproduced.

Customers are responsible for obtaining any permissions, licences or authorisations required to reproduce third-party designs, logos, trademarks, artwork or other protected material.

RugbyCottons reserves the right to refuse an order where it reasonably believes that the order may infringe third-party rights.

10. Customer Review and Approval

The customer is responsible for checking the final design before submitting an order.

Once an order is submitted, the customer is deemed to have approved the design and specifications provided at the time of ordering.

RugbyCottons is not responsible for customer-created or customer-approved errors, including:

  • incorrect jersey sizes;
  • incorrect quantities;
  • incorrect names;
  • incorrect numbers;
  • incorrect spelling;
  • incorrect colours selected by the customer;
  • incorrect positioning;
  • incorrect or unsuitable logos;
  • incorrect images;
  • low-quality or unsuitable uploaded artwork;
  • incorrect information supplied by the customer; or
  • mistakes made by the customer while using the configurator.

Where the customer has approved an incorrect design, RugbyCottons is not required to reproduce the jerseys at its own expense solely because the customer subsequently changes their mind or discovers an error that was present in the approved design.

11. Orders and Acceptance

Submitting an order constitutes an offer by the customer to purchase the specified products.

An order is accepted when RugbyCottons confirms the order or otherwise begins processing it.

RugbyCottons reserves the right to refuse or cancel an order where, for example:

  • the design infringes or may infringe third-party rights;
  • the order contains prohibited content;
  • the customer has supplied materially incorrect information;
  • the requested order cannot reasonably be manufactured;
  • payment has not been successfully received;
  • the order does not satisfy the applicable minimum quantity; or
  • circumstances outside RugbyCottons' reasonable control prevent production.

If RugbyCottons cancels an order after payment has been received and the cancellation is not caused by the customer's conduct, RugbyCottons will refund amounts paid for the cancelled order.

12. Prices and Payment

Prices displayed on the website may vary depending on the product, quantity, design, customisation, shipping destination and other applicable factors.

The applicable price is the price displayed or otherwise quoted to the customer at the time the order is placed, subject to obvious pricing errors.

RugbyCottons may require full payment before production begins.

Production may not commence until payment has been successfully received.

13. Production

Custom products are manufactured according to the specifications approved by the customer.

Production times are estimates unless RugbyCottons expressly agrees to a fixed production deadline.

Manufacturing and delivery times may be affected by circumstances including material availability, production capacity, shipping delays, customs procedures, carrier delays and other circumstances beyond RugbyCottons' reasonable control.

14. Custom Products and Changes of Mind

Because custom RugbyCottons jerseys are produced according to the customer's specifications and/or are clearly personalised, customers may not generally cancel an order or request a refund merely because they have changed their mind.

This applies particularly where production has begun or the goods have been manufactured according to the customer's individual specifications.

Nothing in these Terms excludes or limits any mandatory statutory consumer rights that cannot legally be excluded.

For EU consumers, applicable law may provide an exception to the ordinary 14-day withdrawal right for goods made to the customer's specifications or clearly personalised.

Where a statutory withdrawal right does apply to a particular product or transaction, RugbyCottons will honour that right in accordance with applicable law.

15. Defective or Incorrectly Manufactured Products

RugbyCottons aims to manufacture products according to the approved order specifications.

If a product has a genuine manufacturing defect, is materially damaged during production, or RugbyCottons has manufactured a product materially different from the customer's approved order, the customer should contact RugbyCottons as soon as reasonably possible after receiving the product.

The customer may be asked to provide photographs, order details and other information reasonably necessary to investigate the issue.

Where RugbyCottons is responsible for a manufacturing defect or other failure to supply goods in conformity with the agreement, RugbyCottons will provide an appropriate remedy in accordance with applicable law.

Depending on the circumstances, the remedy may include:

  • repair;
  • replacement;
  • reproduction of the affected product;
  • a price reduction; or
  • a refund.

Nothing in these Terms limits mandatory statutory consumer guarantees or remedies.

EU consumer law provides legal protection where goods are faulty or do not conform to what was agreed.

16. Customer-Caused Errors Are Not Manufacturing Defects

A customer-caused mistake is not considered a manufacturing defect.

Examples include:

  • selecting the wrong size;
  • supplying the wrong name or number;
  • uploading the wrong logo;
  • uploading an incorrect image;
  • uploading artwork of insufficient quality;
  • selecting the wrong colour;
  • selecting the wrong configurator option;
  • approving the wrong design; or
  • providing incorrect delivery or order information.

Where the product was manufactured according to the customer's approved specifications, RugbyCottons is not responsible for such errors.

17. Inspection of Orders

Customers should inspect their products promptly upon delivery.

Any apparent manufacturing issue, damage or discrepancy should be reported to RugbyCottons as soon as reasonably possible, together with sufficient evidence for RugbyCottons to investigate.

Failure to immediately report an issue does not remove mandatory statutory rights where those rights apply.

18. Shipping and Delivery

RugbyCottons ships to locations where it offers delivery.

Delivery estimates are not guaranteed unless expressly agreed otherwise.

Customers are responsible for providing an accurate delivery address and relevant contact information.

RugbyCottons is not responsible for delays caused by incorrect information supplied by the customer.

International orders may be subject to customs duties, taxes, import charges or other fees imposed by the destination country. Unless expressly stated otherwise, these charges are the customer's responsibility.

19. Risk and Delivery

Risk in the products transfers in accordance with applicable law.

For consumer transactions, RugbyCottons will comply with mandatory statutory rules concerning delivery and transfer of risk.

For business customers, risk may transfer upon delivery to the carrier or other point agreed between RugbyCottons and the customer, subject to applicable law and the relevant commercial agreement.

20. Prohibited Content

RugbyCottons may refuse to manufacture or display designs containing material that RugbyCottons reasonably considers:

  • unlawful;
  • defamatory;
  • threatening;
  • fraudulent;
  • hateful;
  • discriminatory;
  • sexually explicit where inappropriate for the service;
  • infringing of third-party intellectual property;
  • promoting illegal activity;
  • likely to expose RugbyCottons to legal liability; or
  • otherwise inappropriate for RugbyCottons' services.

RugbyCottons may cancel an order containing prohibited material and, where appropriate and legally permitted, refund amounts paid for the cancelled order.

21. Intellectual Property Complaints

If a third party believes that a design, logo, image or other material displayed on the RugbyCottons platform infringes their intellectual property rights, they may contact RugbyCottons with sufficient information to identify the relevant material and explain the basis of the claim.

RugbyCottons may investigate the complaint and may remove, restrict or refuse the relevant material or order where appropriate.

22. Website Availability

RugbyCottons aims to keep the website and configurator available and functioning correctly but does not guarantee uninterrupted or error-free availability.

The website may occasionally be unavailable due to maintenance, technical problems, updates, security measures or circumstances outside RugbyCottons' reasonable control.

23. Third-Party Services

RugbyCottons may use third-party services for payment processing, hosting, shipping, manufacturing, analytics, communications or other business functions.

Where third-party services are used, their own terms and privacy policies may also apply.

24. Limitation of Liability

To the maximum extent permitted by applicable law, RugbyCottons will not be liable for indirect, incidental, special or consequential losses arising from the use of the website, configurator or products.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, intentional misconduct or mandatory consumer protections.

For business customers, and to the maximum extent permitted by applicable law, RugbyCottons' liability may be limited to the amount paid by the customer for the specific order giving rise to the claim.

This limitation does not apply where such limitation would be prohibited by mandatory law.

25. Force Majeure

RugbyCottons is not responsible for delay or failure to perform its obligations where the delay or failure results from circumstances beyond its reasonable control.

Such circumstances may include, without limitation:

  • natural disasters;
  • fire;
  • flood;
  • war;
  • terrorism;
  • government action;
  • labour disputes;
  • supply shortages;
  • manufacturing interruptions;
  • transport disruptions;
  • customs delays;
  • cyber incidents;
  • significant technical failures; or
  • other events outside RugbyCottons' reasonable control.

Where reasonably possible, RugbyCottons will inform affected customers of significant delays.

26. Privacy

RugbyCottons processes personal information in accordance with its applicable Privacy Policy.

Customers should review the RugbyCottons Privacy Policy for information about how personal information is collected, used, stored and processed.

27. Changes to These Terms

RugbyCottons may update these Terms from time to time.

The version of the Terms applicable to an order will generally be the version accepted by the customer at the time the order was placed, subject to mandatory applicable law.

Updated Terms will be made available on the RugbyCottons website.

28. Severability

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable where legally possible.

The remaining provisions will remain in full force and effect.

29. No Waiver

If RugbyCottons does not immediately enforce a provision of these Terms, this does not constitute a waiver of RugbyCottons' right to enforce that provision at a later date.

30. Applicable Law

These Terms and agreements between RugbyCottons and its customers are governed by Dutch law, except to the extent that mandatory provisions of the law applicable to a consumer in their country of residence provide otherwise.

Nothing in these Terms is intended to deprive consumers of mandatory rights granted to them under applicable consumer-protection legislation.

31. Disputes

RugbyCottons encourages customers to contact RugbyCottons directly to resolve any complaint or dispute before commencing formal proceedings.

For business-to-business agreements, disputes will, subject to applicable law, be submitted to the competent court in the Netherlands.

For consumer agreements, the competent court and applicable dispute-resolution rules will be determined in accordance with mandatory applicable law.
